The paper examines the functional boundaries of similar control in Italian in-house companies. Starting from recent case law rejecting a hierarchical understanding of the relationship between public shareholders and the controlled company, it focuses on arrangements requiring prior binding opinions on individual day-to-day management decisions. The analysis considers EU law, Legislative Decree No. 175/2016, corporate rules on directors’ managerial powers and direction and coordination, the regulation of local public services, and public accounting liability as amended in 2026. The paper argues that effective similar control should be assessed by the public shareholders’ capacity to exercise decisive influence over strategic objectives and significant decisions, rather than by the number of individual management acts subject to prior authorisation.
Il contributo indaga il limite funzionale del controllo analogo nelle società in house, muovendo dalla più recente giurisprudenza che, pur confermandone l’intensità, ne esclude la ricostruzione in termini di subordinazione gerarchica. L’analisi si concentra sulle ipotesi in cui statuti, patti parasociali o regolamenti sottopongono a parere preventivo vincolante singoli atti di gestione corrente, con il rischio di trasformare la funzione di indirizzo e vigilanza in compartecipazione alla gestione. Il problema viene esaminato alla luce del diritto eurounitario, dell’art. 16 del d.lgs. n. 175 del 2016, delle regole codicistiche sulla competenza gestoria e sulla direzione e coordinamento, della disciplina dei servizi pubblici locali e della responsabilità amministrativo- contabile, come modificata dalla legge n. 1 del 2026. La tesi proposta è che l’effettività del controllo analogo non si misuri attraverso la quantità degli atti assoggettati ad autorizzazione, bensì attraverso la capacità degli enti soci di esercitare un’influenza determinante sugli obiettivi strategici e sulle decisioni significative, preservando al contempo una sfera di gestione responsabile degli amministratori
